ImagineDesk provides web-based tools and utilities including but not limited to domain name generation, image generation, mockup creation, and other productivity tools. The Service may be modified, updated, or discontinued at any time without prior notice.

We are not responsible if information made available on this site is not accurate, complete, or current. 9. Payment Terms

Some features of the Service may require payment. You agree to pay all fees associated with your use of paid features. All fees are non-refundable unless otherwise stated.

We use third-party payment processors (Stripe) to process payments. Your use of these payment services is subject to their respective terms and conditions.

We reserve the right to change our prices at any time. Price changes will be communicated to you in advance and will apply to subsequent billing periods.

10. Subscription and Cancellation

If you purchase a subscription, it will automatically renew at the end of each billing period unless you cancel it before the renewal date.

You may cancel your subscription at any time through your account settings or by contacting us at hello@imaginedesk.com. Cancellation will take effect at the end of the current billing period.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

ImagineDesk does not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL IMAGINEDESK, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us, if any, during the twelve (12) months prior to the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless ImagineDesk and its licensors, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from:

• Your use of and access to the Service
• Your violation of any term of these Terms
• Your violation of any third-party right, including any copyright, property, or privacy right
• Any claim that your User Content caused damage to a third party

14. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

15. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Virginia, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Virginia, and you consent to the personal jurisdiction of such courts.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between you and ImagineDesk regarding the use of the Service, superseding any prior agreements between you and ImagineDesk relating to your use of the Service.

18. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
